VENDOR / SUPPLY AGREEMENT

THIS VENDOR AGREEMENT ("Agreement") is made at [City] on [Date] BETWEEN:

The Vendor shall raise a valid GST tax invoice under Section 31 of the CGST Act, 2017 containing GSTIN, HSN/SAC, place of supply and IRN/QR (where e-invoicing applies), enabling the Buyer to claim Input Tax Credit.

Clause 3. Purchase Orders. The Buyer shall place POs specifying item, quantity, price, delivery date and site. The Vendor shall acknowledge each PO within [2] business days.

Clause 9. Indemnity. The Vendor shall indemnify the Buyer against losses arising from defective goods, IP infringement, tax default (including denial of ITC due to the Vendor's non-filing) or breach of law.
