Most common ROC / MCA e-Forms — quick reference
These are the forms most private and public companies file each year. Annual forms recur every financial year; event-based forms are triggered only when the specific corporate action happens.
AOC-4 & MGT-7 / 7A
Annual accounts (AOC-4, within 30 days of AGM) and the annual return (MGT-7, within 60 days of AGM; MGT-7A for OPCs & small companies). The backbone of every company's yearly ROC compliance.
ADT-1 & DIR-12
ADT-1 reports auditor appointment (within 15 days). DIR-12 reports any director appointment, resignation or change in designation (within 30 days).
INC-20A & INC-22
INC-20A is the commencement-of-business declaration (within 180 days of incorporation). INC-22 notifies a change of registered office (within 30 days).
DIR-3 KYC, DPT-3 & MSME-1
Recurring compliances: DIR-3 KYC (director KYC, by 30 Sep), DPT-3 (return of deposits, by 30 Jun) and MSME-1 (dues to MSME suppliers, half-yearly).
Key terms explained
Event-based filing
Forms filed only when a specific corporate event occurs — appointing a director, creating a charge, allotting shares. The clock starts from the date of the event, not the financial year-end.
Annual filing
Forms that recur every financial year regardless of events — chiefly AOC-4 (accounts) and MGT-7 (annual return), both linked to your Annual General Meeting.
Additional fees for delay
File after the time limit and the MCA charges additional fees — typically ₹100 per day for annual forms, with no upper cap. Some forms attract heavier multiples of the normal fee.
Certification & DSC
Most e-Forms need a Digital Signature of a director and, in many cases, certification by a practising CA / CS / CMA before upload on the MCA V3 portal.
Which form do I file for a change of directors?
DIR-12, within 30 days of the appointment, resignation or change in designation. A resigning director may also file DIR-11 on their own account.
Which form is used for allotment of shares?
PAS-3, the return of allotment, within 30 days of the allotment. A private placement additionally requires PAS-4 and PAS-5 records and the money to be kept in a separate account until PAS-3 is filed.
What is filed for a change of registered office?
INC-22 for a change within the same city or to another place within the ROC's jurisdiction. A shift to another state requires a special resolution, MGT-14, central government approval in INC-23 and then INC-28 and INC-22.
Which form registers a charge on company assets?
CHG-1 for creation or modification of a charge, within 30 days, extendable on payment of additional fees. CHG-4 is filed for satisfaction of a charge within 30 days of repayment.
When is MGT-14 required?
For special resolutions and for certain board resolutions specified in section 179(3), within 30 days of passing. Private companies are exempt from filing most board resolutions under section 179(3) but not special resolutions.
