MCA filing fees — by authorized capital
Most ROC e-forms (AOC-4, MGT-7, DIR-12, ADT-1, SH-7…) carry a government fee that depends on the company's authorized share capital. The higher the capital, the higher the base fee — capped at ₹2,00,000.

Late-fee multiplier — 2× to 12×
Miss an ROC deadline and the additional fee is a multiple of the normal filing fee, rising steeply with the delay. Beyond 180 days the company faces strike-off risk under Section 248.
What SPICe+ includes
SPICe+ (INC-32) is the single integrated web form for incorporating a company in India. It bundles name reservation, DIN, PAN, TAN, EPFO, ESIC, professional tax and a bank account — with GSTIN as an optional linked service.
Government fee
The MCA govt fee is ₹0 for authorized capital up to ₹15 lakh (waived). Above that, the capital-based slab fee applies to the incorporation form.
Stamp duty
Charged on MOA/AOA at a state-specific rate on authorized capital (subject to a state minimum). Maharashtra, Delhi, Karnataka etc. each differ.
DSC & professional fee
Each director needs a Digital Signature Certificate (~₹1,500). CA/CS professional fees for drafting and filing are separate and vary by company type.

How are MCA form filing fees decided?
For most ROC forms the government fee depends on the company authorised share capital, with higher capital attracting a higher slab fee. Some forms such as DIR-3 KYC and INC-20A instead carry fixed fees.
What are the government fees for incorporating a Private Limited Company?
MCA incorporation fees depend on authorised capital: nil for capital up to Rs 15 lakh (as per simplified fee structure), Rs 2,000 for Rs 15 lakh to Rs 25 lakh, scaling upwards. Stamp duty on MOA and AOA varies by state and is additional. Professional fees for a CA/CS are separate.
What is the late fee for MCA filings?
Late filing attracts an additional fee that increases with the delay, typically from 2 times the normal fee up to 12 times for very long delays. For annual forms an extra flat per-day penalty can also apply, so filing on time is far cheaper.
What is the fee for filing Form MGT-7 (Annual Return) late?
Late filing of Form MGT-7 attracts additional fees: Rs 100 per day per form beyond the due date with no maximum cap. For a delay of 30 days on a company with paid-up capital of Rs 1 lakh, the total late fee would be approximately Rs 3,000 plus normal filing fee.
Are these government fees final?
The amounts shown are indicative MCA government fees only. Professional charges of a CA or CS, stamp duty on the memorandum and articles, and any DSC costs are separate and vary.
What is the fee for increasing authorised share capital?
MCA fees for increasing authorised capital are slab-based: for the incremental amount, you pay Rs 0 for the first Rs 1 lakh, then stepped amounts increasing with the capital bracket. Stamp duty on the altered MOA is additional and varies by state.
What does the SPICe+ estimate include?
The SPICe+ tab estimates the total cost of incorporating a company, combining government fees, state stamp duty on the authorised capital, digital signature costs and an indicative professional fee. Actual costs depend on the state and service provider.
What is the cost of a Director Identification Number (DIN)?
A DIN is now obtained as part of the SPICe+ company incorporation form at no separate charge. Existing individuals can apply for a standalone DIN using Form DIR-3 for a fee of Rs 500. A DIN is a lifetime number and does not require renewal.
Are there any fees for changing the registered office of a company?
Changing the registered office within the same city costs Rs 200 (Form INC-22). Changing to a different city in the same state or to a different state involves filing Form INC-23 or INC-28, with fees depending on share capital, plus Regional Director or NCLT approval for inter-state changes.
