A mutual/one-way non-disclosure agreement protecting confidential information exchanged between two parties before or during a business relationship, enforceable under the Indian Contract Act, 1872.

NON-DISCLOSURE AGREEMENT

THIS NON-DISCLOSURE AGREEMENT ("Agreement") is made at [City] on [Date] BETWEEN:

[Disclosing Party Name], of [Address] (the "Disclosing Party"); AND

[Receiving Party Name], of [Address] (the "Receiving Party"). (Where information flows both ways this is a mutual NDA and each party is both Disclosing and Receiving Party.)

Clause 5. Compelled Disclosure. If required to disclose by law, court or regulator, the Receiving Party shall give prompt written notice (where lawful) so the Disclosing Party may seek protection, and shall disclose only the minimum required.

Clause 6. No Licence / No Warranty. No licence or IP right is granted by disclosure. Information is provided "as is" without warranty of accuracy.

Clause 7. Term & Survival. This Agreement is effective from the date above and the confidentiality obligations survive for [3] years after disclosure (perpetually for trade secrets), notwithstanding termination.
