COMPANY STRIKE-OFF / CLOSURE CHECKLIST
Voluntary removal of a company’s name from the register under Section 248(2) of the Companies Act, 2013 via Form STK-2.
Eligibility & Pre-Conditions
- ☐ Company has no business/operations for the last 2 financial years or since incorporation
- ☐ All liabilities extinguished and bank accounts closed
- ☐ No pending litigation or prosecutions
- ☐ Overdue annual filings (AOC-4/MGT-7) completed up to the closure year
Internal Approvals
- ☐ Board resolution approving strike-off
- ☐ Extinguish all liabilities before passing member resolution
- ☐ Special resolution or consent of 75% members by paid-up capital
Supporting Documents
- ☐ Statement of accounts (Form STK-8) certified by a CA, not older than 30 days
- ☐ Indemnity bond by every director in Form STK-3
- ☐ Affidavit by every director in Form STK-4
- ☐ Bank account closure certificate
- ☐ No-objection from concerned regulatory authorities, if applicable
Filing
- ☐ File Form STK-2 with prescribed fee and attachments
- ☐ PAN card copy of the company attached
- ☐ Monitor MCA/Registrar notice STK-7 for public objection period
Note: Strike-off is not available to Section 8 companies, listed companies, or entities with charges/inspections pending. Directors remain personally liable for undischarged liabilities even after strike-off.
