Board Meeting Compliance Checklist

Ensure every board meeting is validly convened, quorate and documented as required by law and Secretarial Standard SS-1.

BOARD MEETING COMPLIANCE CHECKLIST

Steps to hold a valid board meeting under Section 173 of the Companies Act, 2013 and Secretarial Standard SS-1.

Before the Meeting

  • ☐ Confirm gap since last meeting does not exceed 120 days
  • ☐ Send notice with agenda at least 7 days before the meeting
  • ☐ Circulate notes on agenda and draft resolutions
  • ☐ Verify serial-numbered notice sent to every director at registered address/email
  • ☐ Arrange video-conferencing facility with recording, if virtual

At the Meeting

  • ☐ Verify quorum (1/3rd of total strength or 2 directors, whichever is higher)
  • ☐ Confirm director interested in a contract does not participate in that item
  • ☐ Note leave of absence for absent directors
  • ☐ Transact and pass resolutions on each agenda item
  • ☐ Record dissent or reservations of any director

Minutes & After the Meeting

  • ☐ Draft minutes within 15 days of the meeting
  • ☐ Enter finalised minutes in the minutes book within 30 days
  • ☐ Get minutes signed by the chairman
  • ☐ File MGT-14 for board resolutions requiring registration
  • ☐ Update statutory registers with decisions taken

Note: A One Person Company, small company, dormant company or start-up need only hold one board meeting in each half of the calendar year with a gap of at least 90 days.
