Map the company’s recurring secretarial obligations across the year so no ROC deadline is missed.

SECRETARIAL COMPLIANCE CALENDAR CHECKLIST

A due-date-wise calendar of periodic secretarial filings for a company on a April-March financial year.

Quarterly / Half-Yearly

  • ☐ Hold board meeting each quarter (gap max 120 days)
  • ☐ File MSME-1 half-yearly return by 30 April and 31 October
  • ☐ Review outstanding dues to micro and small enterprises

First Half (Apr-Sep)

  • ☐ File DPT-3 (deposits/loans return) by 30 June
  • ☐ Hold AGM by 30 September
  • ☐ Complete DIR-3 KYC of all directors by 30 September

Second Half (Oct-Mar)

  • ☐ File ADT-1 within 15 days of AGM
  • ☐ File AOC-4 within 30 days of AGM (typically by 29 October)
  • ☐ File MGT-7A within 60 days of AGM (typically by 28 November)

Event-Based (As They Occur)

  • ☐ DIR-12 for director appointment/resignation within 30 days
  • ☐ INC-22 for change of registered office within 30 days
  • ☐ MGT-14 for special/board resolutions within 30 days
  • ☐ SH-7 for increase in authorised capital within 30 days
  • ☐ CHG-1 / CHG-4 for creation or satisfaction of charge within 30 days

Note: Dates shift with the actual AGM date; recalibrate AOC-4 and MGT-7A the moment the AGM is held. Maintain a live tracker to avoid daily additional fees.
