DIRECTOR APPOINTMENT CHECKLIST

Appointing a director under Sections 152, 161 and 164 of the Companies Act, 2013.

Eligibility & Pre-Requisites

  • ☐ Obtain Director Identification Number (DIN) for the proposed director
  • ☐ Obtain Digital Signature Certificate (DSC)
  • ☐ Confirm the person is not disqualified under Section 164
  • ☐ Verify directorship limit (max 20 companies, 10 public) not breached
  • ☐ Check any cap in the Articles on maximum directors

Consents & Declarations

  • ☐ Consent to act as director in Form DIR-2
  • ☐ Declaration of non-disqualification in Form DIR-8
  • ☐ Disclosure of interest in Form MBP-1
  • ☐ Self-attested PAN, address and identity proof

Approvals

  • ☐ Board resolution appointing an additional director, or
  • ☐ Member approval by ordinary resolution at general meeting
  • ☐ Regularisation of additional director at the next AGM

Filings & Records

  • ☐ File Form DIR-12 within 30 days of appointment
  • ☐ Update the register of directors and KMP
  • ☐ Update entries with banks and other stakeholders

Note: An additional director appointed by the board holds office only up to the next AGM and must be regularised by shareholders. Delay in DIR-12 attracts per-day additional fees.
