Company Name Change Checklist

Change a company’s name end to end, from name reservation to updating every registration and record.

COMPANY NAME CHANGE CHECKLIST

Changing the name of a company under Section 13 of the Companies Act, 2013 and Rule 29.

Name Reservation

  • ☐ Check name availability on the MCA portal and trademark database
  • ☐ Reserve the new name through the RUN service
  • ☐ Ensure the name complies with naming rules and undesirable-name guidelines

Approvals

  • ☐ Board resolution to convene a general meeting
  • ☐ Pass a special resolution approving the name change and altering MOA/AOA
  • ☐ File MGT-14 for the special resolution within 30 days

ROC Application

  • ☐ File Form INC-24 for approval of name change
  • ☐ Attach altered MOA and AOA, minutes and resolution
  • ☐ Obtain the fresh Certificate of Incorporation (INC-25)

Post-Change Updates

  • ☐ Update PAN, TAN and GST registration
  • ☐ Inform the bank and update account name and cheques
  • ☐ Update licences, registrations and statutory registers
  • ☐ Revise letterheads, seal, website, invoices and signage
  • ☐ Display old and new name for 2 years on all documents

Note: The name change takes effect only from the date of the fresh Certificate of Incorporation; the change does not affect the company’s existing rights, liabilities or legal proceedings.
