Registrations to start an edtech or coaching business

Coaching centres and edtech platforms are taxable businesses — only recognised schools and degree courses are exempt — and many states now register coaching centres too.

Your checklist

What each registration is, who issues it and when it applies to an edtech business. Rules vary by state and by size — treat this as the map, and ask us about your exact case.

Mandatory · Needed by every business of this kind.

Shops & EstablishmentsState labour department

Mandatory for a centre · State labour dept

Registers a shop, office, restaurant or other commercial establishment under the state's Shops and Establishments Act. Who must register, and the exemptions, differ from state to state.

If it applies · Needed once you cross a threshold or do a particular activity.

GST registrationCBIC · GSTN

Above threshold · coaching is taxable

Required once aggregate turnover crosses the threshold — ₹40 lakh for goods and ₹20 lakh for services in most states — and in some cases from the first sale, such as most inter-state supplies of goods.

Startup India (DPIIT)DPIIT

Recommended · tax and IPR benefits

Recommended · course content

Copyright exists from creation, but a registration certificate is prima facie evidence of ownership when content is copied or a platform dispute arises.

The order to do them in

Some registrations need another one first — this is the sequence that avoids rework.

  1. Company for a platform you will fund; proprietorship or LLP for a single centre.
  2. Shops & Establishments, and your state's coaching-centre registration where one applies.
  3. GST as turnover nears ₹20 lakh.
  4. Trademark the brand; register copyright in key course material.
  5. ESI and PF for teaching and support staff.

Go further

After the registrations come the returns and filings that keep you compliant.

Running it, not just starting it

GST returns, bookkeeping, TDS and annual filings — everything a business like yours has to keep doing, in one place.

Common questions

What people starting an edtech business ask us most.

Is GST charged on coaching fees?

Yes. Education by a school, or towards a qualification recognised by law, is exempt — private coaching and most online courses are taxable once you cross the threshold.

Do coaching centres need a separate registration?

The Ministry of Education's 2024 guidelines asked states to register coaching centres, and several states have their own laws. Check your state before opening.

Company or proprietorship for an edtech business?

A single centre can run as a proprietorship or LLP. A platform that will raise money should be a private limited company from the start.

Tell us what you are building. We map every registration.

A CA or CS confirms which of these apply to you, in your state, and handles the ones we cover.
