Section 3 explained: this guide covers what it means, who it applies to, the step-by-step process, documents required, fees, due dates and penalties in India — so you can stay compliant with confidence and avoid costly mistakes.
Section 3 is the definition section of the Act. This article covers clauses (a) to (h), together with the two clauses the 2023 Amendment Act inserted among them: (aa) "Authority" and (fa) "Co-operative Ombudsman". It also covers the changed words in clause (d), "Central Registrar".
The text below is as per the Ministry of Cooperation copy of the Act read with the Multi-State Co-operative Societies (Amendment) Act, 2023. If you run or advise a society and are unsure how a defined word applies to your bye-laws, a legal consultation can tie the definitions to your documents.
Section 3 opens "In this Act, unless the context otherwise requires". "Area of operation" is the area from which persons are admitted as members. "Board" is the board of directors or governing body, by whatever name called. "Bye-laws" means only bye-laws duly registered or deemed registered. "Central Registrar" now carries a reference to article 243ZH of the Constitution. Two new terms, "Authority" and "Co-operative Ombudsman", were added in 2023. This article is part 1 of 3 on section 3.
How section 3 is split
Section 3 has clauses from (a) to (w) in the principal copy. This site covers them in three parts: this article takes clauses (a) to (h); the next takes clauses (i) to (p); the last takes clauses (q) to (w). Both are linked under Read next below. The 2023 Amendment Act (section 2 of that Act) amends section 3 by inserting (aa), (fa) and (ka), changing clauses (d) and (s) and omitting clause (i).
Clause by clause
(a) "Area of operation" means "the area from which the persons are admitted as members". For a multi-State co-operative society this is the footprint of its membership, and section 10(2)(a) lets the bye-laws state it. A society that admits members in, say, three States has an area of operation covering those three.
(aa) "Authority" (inserted in 2023) means "the Co-operative Election Authority established under sub-section (1) of section 45". The Authority is the body the new section 45 sets up for elections to boards. The details of how it conducts elections sit in new sections 45A to 45L; this article only gives the definition. Whether and when the Authority was set up is not stated in the sources and is not covered here.
(b) "Board" means "the board of directors or the governing body of a multi-state cooperative society, by whatever name called, to which the direction and control of the management of the affairs of the society is entrusted". The test is function, not title: a "managing committee" or "governing council" that directs and controls management is the board for the purposes of the Act.
(c) "Bye-laws" means "the bye-laws for the time being in force which have been duly registered or deemed to have been registered under this Act" and "includes amendments thereto which have been duly registered or deemed to have been registered under this Act". An unregistered amendment is therefore not part of the bye-laws as the Act uses the word (see also s.11(1), which makes an unregistered amendment invalid).
(d) "Central Registrar" means "the Central Registrar of Cooperative Societies appointed as per clause (f) of article 243ZH of the Constitution read with sub-section (1) of section 4" and includes "any officer empowered to exercise the powers of the Central Registrar under sub-section (2) of that section". The 2023 Amendment Act substituted these words for "under sub-section (1) of section 4". The text gives no further explanation of article 243ZH; it is a reference to the Constitution and the reader should check the article itself. Section 4 is explained in Section 4: Central Registrar.
(e) "Chief Executive" means "a Chief Executive of a multi-state cooperative society appointed under section 51". That section was itself amended in 2023 (a new sub-section (1A) on who cannot be Chief Executive); the definition here does not change.
(f) "Co-operative bank" means "a multi-state cooperative society which undertakes banking business". The Act's own definition goes no further. Other provisions of the Act refer to the Reserve Bank of India and to the Banking Regulation Act, 1949; the reader should check the current law for the corresponding provision of the Banking Regulation Act, 1949.
(fa) "Co-operative Ombudsman" (inserted in 2023) means "the Ombudsman appointed by the Central Government under section 85A". Section 85A deals with redressal of complaints. This clause only defines the term.
(g) "Co-operative principles" means "the cooperative principles specified in the First Schedule". The First Schedule lists the principles; they are used as a test in section 5(1)(b) and section 7(1)(c), where bye-laws must provide for social and economic betterment of members "in accordance with the cooperative principles".
(h) "Co-operative society" means "a society registered or deemed to be registered under any law relating to cooperative societies for the time being in force in any State". It is the State-registered society, which is different from the multi-State co-operative society defined in clause (p). The difference decides which Registrar and which law applies. The comparison of MSCS and State co-operatives puts the two routes side by side.

| Clause | Before | After the 2023 Amendment Act |

Points to watch
- Spelling. The principal copy prints "multi-state cooperative society" and the 2023 Act prints "multi-State co-operative society". The two are the same thing; this site uses the 2023 spelling in its own sentences and keeps the printed spelling inside quotations.
- The lead-in. "Unless the context otherwise requires" means a defined word can take a different meaning where the surrounding words clearly point elsewhere.
- Definitions live in other places too. The words "limited liability", "national co-operative society", "notification" and "officer" are in clauses (q) to (w), and are covered in the third part.
A practical example
A newly formed society, Godavari Marketing Co-operative, plans to admit growers from two States. Its area of operation (clause (a)) will be those two States' defined districts, written into the bye-laws. Its board (clause (b)) may be called the "Governing Council", but if that body directs and controls management, it is the board. If a proposal arises to change the number of directors, the change counts only when it forms part of "bye-laws" as in clause (c), that is, once registered. If the society becomes a co-operative bank, clause (f) applies because it undertakes banking business, and the Reserve Bank and Banking Regulation Act references elsewhere in the Act come into play.

Need help with definitions and bye-laws?
Definitions decide who counts as a member, a director or a registrar in your society, so wording in the bye-laws needs to match the Act. Our team can review your documents in a legal consultation before they go to the Central Registrar.
