Three options, and the choice is genuinely not obvious. Here's the arithmetic, plus the thing nobody tells you about renewals.

Break-even points:

  • Five years beats one-year renewals from year two onwards — ₹17,700 versus ₹11,800 for two years, so it's ahead by year three and comfortably ahead after that.
  • Lifetime beats five-year renewals at around 8.5 years — ₹29,500 versus ₹17,700 for the first five plus ₹17,700 for the next five.

Which to pick

One year — only if a seat is already agreed. You've been offered a directorship, the appointment is proceeding, and you want to register quickly without committing. Otherwise it's the worst value on the list, and it puts a renewal deadline in your calendar within twelve months.

Five years — the default. ₹3,540 a year is a rounding error against a single sitting fee, and five years is a realistic horizon for finding a first board seat, which commonly takes longer than people expect. This is the right answer for most people registering speculatively.

Lifetime — if boards are the plan. If you're building a portfolio career and expect to serve for a decade or more, ₹29,500 once removes the renewal problem permanently. Also worth it if you know you won't reliably track a renewal date, because the cost of a lapse is bigger than the saving.

The renewal trap

If you're on a one-year or five-year subscription, you must renew. Rule 6 requires it within 30 days of expiry, and a delayed renewal costs an extra ₹1,000 + GST.

Nobody chases you about this. There's no MCA notice, no ROC form, no company obligation to track it. It's entirely on you.

What a lapse actually costs:

  • Your name stops being maintained in the databank, and your eligibility for the role comes into question.
  • A company doing its annual governance check — or a board assessing the veracity of your independence declaration under Regulation 25(9) — will find the gap.
  • Reinstating means paying the delayed fee, and depending on the circumstances, re-registering.

The five-year and lifetime options aren't just cheaper per year. They remove a recurring failure point from your life, which is worth something on its own.

What the fee buys you

  • Inclusion in the databank — the searchable directory nomination committees use, and a condition of holding the role under Rule 6.
  • A profile with your skills, sector experience, qualifications and existing directorships.
  • Access to the e-learning modules covering company law, securities law, accountancy and governance.
  • Access to the online proficiency self-assessment test, where you aren't exempt.

The only extra charge in the ordinary course is ₹1,000 + GST for a one-year extension of the two-year test window.

A note for exempt candidates

If you're exempt from the proficiency test under Rule 6(4) — three years as a director or KMP in a qualifying entity, or ten years in professional practice — you still pay the same subscription. The exemption covers the test, never the registration.

And it's still worth working through the e-learning modules. Exemption from an exam isn't the same as knowing Schedule IV.
