CSR Registration explained: this guide covers what it means, who it applies to, the step-by-step process, documents required, fees, due dates and penalties in India — so you can stay compliant with confidence and avoid costly mistakes.
The company remains responsible for the spend. The rule simply removed the option of routing it through an unregistered body.
The change
Rule 4 of the Companies (CSR Policy) Amendment Rules, 2014 for CSR Activities have been replaced with CSR Implementation which suggests that eligible intermediaries through which the company shall undertake the CSR Project or Programme will require to register itself with the Central Government by filing the Form CSR-1 electronically with effect from April 01, 2021.
On filing of CSR-1, one 'Unique CSR Registration Number' shall be generated by the system automatically. From 1st April 2021, it is mandatory for every implementing agency to register itself with the ROC by filing the e-form CSR-1. If any implementing agency fails to file CSR-1, they shall not be eligible to continue as the Implementing agency.
The change looks procedural. Its effect was structural.
Before it, a company discharged its CSR obligation by transferring funds to an implementing body of its choosing. Whether that body existed in substance, had any track record, or was connected to the company's own promoters was a matter for the company alone.
The Unique CSR Registration Number creates a public register. Every agency receiving CSR funds is identified, and the funds flowing to it can in principle be traced across all the companies that use it.
The sanction is what gives it force: if any implementing agency fails to file CSR-1, they shall not be eligible to continue as the Implementing agency. The consequence falls on the agency, but the practical burden falls on the company — a payment to a disqualified agency does not discharge the CSR obligation, and the amount may remain unspent.
For a director this produces a specific and easily-performed check: before funds are released, does the agency have a registration number, and is it current? It takes a minute and it prevents a spend that does not count.
Note the placement in the rules. Registration lives in the rule now titled CSR Implementation, and the manner of execution is item 2 of the annual action plan under Rule 5 — so the choice of agency is a board-approved element of the plan, not an administrative decision taken later.
The mechanics
| Step | Detail |
|---|---|
| Who registers | Every implementing agency — the eligible intermediary through which the company undertakes the project |
| Form | e-form CSR-1, filed electronically with the Registrar |
| Effective from | 1 April 2021 |
| Output | A Unique CSR Registration Number, generated automatically |
| Failure to file | Not eligible to continue as the implementing agency |
A time-limited exception the handbook also records
The same January 2021 notification added a temporary carve-out: a company engaged in research and development activity of new vaccine, drugs and medical devices in their normal course of business could treat COVID-19-related research and development as a CSR activity for financial years 2020-21, 2021-22, 2022-23, subject to the activity being carried out in collaboration with any of the institutes or organisations mentioned in item (ix) of Schedule VII and disclosed separately in the Annual report on CSR included in the Board's Report.
That relaxation was expressly limited to those three financial years and has since run out. It is set out here because the handbook records it, not because it remains available.
What a director should check
- Does each implementing agency hold a Unique CSR Registration Number?
- Is the agency named in the board-approved annual action plan?
- Is registration confirmed before, not after, funds are released?
- Is any related-party connection to the agency disclosed?
- Does the monitoring mechanism cover the agency's reporting back?
Common mistakes
- Releasing funds before confirming CSR registration.
- Treating the choice of implementing agency as an administrative matter.
- Relying on an agency's own assurance rather than the registration number.
- Carrying forward a time-limited exception that has expired.
