Respected Sir/Madam,

I, [Name of Assessee], PAN [PAN], am in receipt of the intimation under Section 245 proposing to adjust my refund for A.Y. [Assessment Year] against an outstanding demand of Rs. [Amount] pertaining to A.Y. [Earlier Assessment Year].

I respectfully submit that I disagree with the proposed adjustment, as the said demand is [incorrect / already paid / under rectification / stayed]. The demand does not survive because [reason, e.g., TDS credit not allowed / rectification pending vide application dated [Date]].

I therefore request that the refund not be adjusted and be issued to me, and that the earlier demand be rectified as Nil. Supporting challans and correspondence are enclosed for your kind consideration.
