Subject: Covering letter for filing SPICe+ (INC-32) for incorporation of “[Proposed Name] Producer Company Limited” under Part IXA of the Companies Act, 2013.

Respected Sir/Madam,

We submit herewith the SPICe+ web form along with the linked forms (e-MoA, e-AoA, INC-9, AGILE-PRO-S and DIR-2) for incorporation of a Producer Company under the name “[Proposed Name] Producer Company Limited”, to be formed for the benefit of its primary-producer members engaged in [production / harvesting / procurement / handling / marketing of __________].

We confirm that the proposed company satisfies the requirements of Part IXA, namely: it is being promoted by ten or more individual producers (or two or more producer institutions); it shall have a minimum authorised share capital of ₹5,00,000; it shall have at least five directors; its objects fall within those permitted under Section 378B; the words “Producer Company Limited” shall form part of the name; and its membership shall be limited to primary producers. The share capital of a Producer Company shall consist of equity shares only.

The following documents are enclosed with the application:

• e-MoA (INC-33) and e-AoA (INC-34) with objects specified under Section 378B
• PAN, Aadhaar and photographs of the [ten or more] producer subscribers
• DIN and DSC details of the [five or more] proposed directors
• Proof of registered office – utility bill and NOC from the owner
• Declarations in INC-9 and consent to act as director in DIR-2
• Evidence that each subscriber is a primary producer (e.g. land record / cultivation proof)

We request you to kindly register the company and issue the Certificate of Incorporation. We undertake to comply with the provisions of Part IXA of the Companies Act, 2013 on an ongoing basis.
