Respected Sir/Madam,

We submit herewith the SPICe+ web form together with the linked forms (AGILE-PRO-S, INC-9, e-MoA and e-AoA) for incorporation of a public company to be registered as a Nidhi Company under the name “[Proposed Name] Nidhi Limited”. The proposed company is to be incorporated with the sole object of cultivating the habit of thrift and savings amongst its members and of receiving deposits from, and lending to, its members only, for their mutual benefit.

We confirm that the proposed Nidhi Company will comply with the Nidhi-specific requirements, namely: it shall be incorporated as a public company; it shall have a minimum paid-up equity share capital of ₹10,00,000; it shall not issue preference shares; the name shall carry the suffix “Nidhi Limited”; and within one year of commencement it shall have not fewer than 200 members, Net Owned Funds of at least ₹20,00,000, and shall file Form NDH-1 (and NDH-4 for declaration as Nidhi) within the prescribed time. It shall not carry on the business of chit fund, hire-purchase, insurance or any body corporate securities.

The following documents are enclosed with the application:

  • e-MoA (INC-33) and e-AoA (INC-34) with the Nidhi object clause
  • Identity and address proof (PAN, Aadhaar, passport photo) of the [7 or more] subscribers and [3 or more] directors
  • DIN and DSC details of the proposed directors
  • Proof of registered office – latest utility bill and NOC from the owner
  • Declarations in INC-9 and consent of directors in DIR-2
