Society Bye-Laws

BYE-LAWS OF [SOCIETY NAME]

Bye-laws of [Society Name], a society registered under the Societies Registration Act, 1860, having its registered office at [Registered Office Address], adopted on [Date].

1. Name. The name of the society shall be "[Society Name]" (hereinafter the "Society").
2. Registered Office. The registered office of the Society shall be situated at [Registered Office Address], in the State of [State].
3. Objects. The objects for which the Society is established are: (a) to promote [primary object, e.g., education / charity / culture / social welfare]; (b) to establish, maintain and support institutions in furtherance of the said object; (c) to receive grants, donations and contributions; and (d) to do all such lawful acts as are incidental to the attainment of the above objects. The income and property of the Society shall be applied solely towards its objects and no portion shall be distributed to members.
4. Membership. Any person above [18] years of age who subscribes to the objects of the Society and is admitted by the Governing Body shall be a member. Categories of members shall be [Ordinary / Life / Patron] members. Every member shall pay the prescribed admission fee and annual subscription.
5. Cessation of Membership. Membership shall cease on death, resignation in writing, non-payment of subscription for [period], or expulsion by the Governing Body for conduct prejudicial to the Society, subject to an opportunity of being heard.
6. General Body. The General Body shall consist of all members and is the supreme authority of the Society. An Annual General Meeting shall be held once every year to consider the annual report, audited accounts and to elect the Governing Body. Extraordinary General Meetings may be convened as required.
7. Governing Body. The management of the Society shall vest in a Governing Body consisting of [Number] members, namely a President, Vice-President, Secretary, Treasurer and other members, elected by the General Body for a term of [Number] years.
8. Powers and Duties. The Governing Body shall administer the affairs and funds of the Society, admit members, appoint staff, and do all acts necessary to further the objects of the Society. The Secretary shall maintain records and the Treasurer shall keep accounts.
9. Meetings and Quorum. The Governing Body shall meet at least once every [quarter]. The quorum for a General Body meeting shall be [Number] members and for a Governing Body meeting shall be [Number] members. Decisions shall be by majority of votes, the Chairperson having a casting vote.
10. Funds and Accounts. The funds of the Society shall be deposited in a bank account operated jointly by the [President/Secretary and Treasurer]. The accounts shall be audited annually by a qualified auditor.
11. Amendment of Bye-Laws. These bye-laws may be amended by a resolution passed by [two-thirds] of the members present at a General Body meeting, and such amendment shall be filed with the Registrar of Societies.
12. Dissolution. The Society may be dissolved as per Sections 13 and 14 of the Societies Registration Act, 1860. Upon dissolution, the remaining property shall be transferred to another society with similar objects and not distributed among members.
