Sub-Lease Agreement

SUB-LEASE AGREEMENT

This Agreement is made on [Date] between [Lessor] and [Lessee]

1. Parties. This Sub-Lease is between [Existing Tenant Name] (the "Sub-Lessor"), currently holding under a head lease dated [Date] with [Head Landlord], and [Sub-Tenant Name] (the "Sub-Lessee").
2. Property Description. The Sub-Lessor sub-leases the premises at [Unit No., Building, City], admeasuring [Area] sq. ft., being [whole/part] of the demised premises.
3. Consent. The head landlord [Name] has granted written consent to this sub-lease vide [Consent Letter/Clause], which forms part hereof.
4. Term / Duration. The sub-lease runs from [Start Date] to [End Date], not exceeding the residue of the head lease.
5. Rent & Escalation. Monthly sub-lease rent of Rs. [Amount] payable by the [5th], with [10]% escalation on renewal.
6. Security Deposit. An interest-free refundable deposit of Rs. [Amount] is paid to the Sub-Lessor, refundable on handover after adjustments.
7. Use. The Sub-Lessee shall use the premises only for [permitted use] and shall observe all covenants of the head lease.
8. Maintenance. The Sub-Lessee shall maintain the premises; charges under the head lease shall be apportioned as agreed.
9. Utilities. All utility and consumption charges during the sub-lease shall be paid by the Sub-Lessee.
10. Lock-in. A lock-in of [6 months] applies to both parties.
11. Notice & Termination. Either party may terminate after lock-in on [two] months' notice; this sub-lease automatically ends if the head lease is terminated.
12. Stamp Duty & Registration. Applicable stamp duty and registration shall be borne by [Sub-Lessee] per State law.
13. Governing Law. This Agreement is governed by Indian law, subject to courts at [City].
