Employee Non-Solicitation Agreement

EMPLOYEE NON-SOLICITATION AGREEMENT

This Agreement is made on [Date] between [Employer Name], having its office at [Address] ("Employer"), and [Employee Name], residing at [Address] ("Employee").

1. Purpose. In consideration of employment and access to the Employer's business relationships, the Employee agrees to the non-solicitation covenants below with effect from [Effective Date].
2. Client Non-Solicitation. During employment and for [Number] months thereafter, the Employee shall not solicit, divert or accept business from any client or customer of the Employer with whom the Employee dealt.
3. Employee Non-Solicitation. During the same period, the Employee shall not induce or solicit any employee or consultant of the Employer to leave their engagement.
4. No Interference. The Employee shall not interfere with the Employer's relationships with vendors, suppliers or business partners.
5. Confidentiality. The Employee shall not use the Employer's client lists or confidential data for solicitation.
6. Reasonableness. The Employee acknowledges that these restrictions are reasonable and necessary to protect the Employer's goodwill.
7. Severability. Any unenforceable provision shall be read down and the remainder shall continue in force.
8. Remedies. Breach shall entitle the Employer to injunctive relief and damages.
9. Governing Law & Jurisdiction. This Agreement is governed by Indian law and subject to the exclusive jurisdiction of the courts at [City].
10. Dispute Resolution. Disputes shall be referred to arbitration seated at [City].
