DEPUTATION / SECONDMENT AGREEMENT

This Agreement is made on [Date] between [Home Employer Name], having its office at [Address] ("Home Employer"), and [Host Entity Name], having its office at [Address] ("Host Entity"), with the consent of [Employee Name] ("Employee").

  1. Deputation. The Home Employer deputes the Employee to the Host Entity for the role of [Designation] with effect from [Effective Date].
  2. Duration. The secondment shall be for a period of [Number] months, extendable by mutual written consent.
  3. Reporting & Control. During the secondment, the Employee shall work under the direction of the Host Entity while remaining on the rolls of the Home Employer.
  4. Salary & Cost. The Home Employer shall continue to pay the Employee's salary; the Host Entity shall reimburse the Home Employer Rs. [Amount] per month towards secondment cost, plus applicable taxes.
  5. Statutory Dues. The Home Employer shall continue to remit EPF, ESI and other statutory contributions for the Employee.
  6. Confidentiality. The Employee shall keep confidential the information of both the Home Employer and the Host Entity.
  7. Intellectual Property. Work product created during the secondment shall vest as agreed between the entities.
  8. Return. On completion or early termination, the Employee shall return to the Home Employer.
  9. Termination. Either entity may terminate the secondment with [Number] days' notice.
  10. Governing Law & Jurisdiction. This Agreement is governed by Indian law and subject to the jurisdiction of the courts at [City].
  11. Dispute Resolution. Disputes shall be referred to arbitration seated at [City].
