Revenue Sharing Agreement

A revenue sharing agreement that defines how gross revenue from a joint venture or arrangement is calculated and split between the parties.

REVENUE SHARING AGREEMENT

This Revenue Sharing Agreement is made on [Date] between [Party A Name], having its office at [Address] ("First Party"), and [Party B Name], having its office at [Address] ("Second Party").

  1. Purpose. The parties shall collaborate on [Business / Product / Service] and share the revenue generated therefrom on the terms below, with effect from the Effective Date.
  2. Revenue Definition. "Revenue" means the gross amounts actually received from the arrangement, exclusive of GST and net of refunds and chargebacks.
  3. Revenue Split. The Revenue shall be shared in the ratio of [Percentage]% to the First Party and [Percentage]% to the Second Party.
  4. Deductions. Direct costs of [Category] shall be deducted before computing the shareable Revenue, as mutually agreed.
  5. Payment Schedule. The shared amounts shall be settled [Monthly / Quarterly] within [Number] days of the close of each period.
  6. Reporting. The receiving party shall maintain accurate records and provide a revenue statement for each settlement period.
  7. Audit Rights. Each party may, on reasonable notice, audit the other's relevant books once per financial year at its own cost.
  8. Taxes. Each party shall be responsible for its own taxes, including GST and TDS, arising from its share of Revenue.
  9. Term & Termination. This Agreement shall continue until [End Date] and may be terminated on [Number] days' written notice, subject to settlement of accrued amounts.
  10. Governing Law & Jurisdiction. This Agreement shall be governed by Indian law and subject to the exclusive jurisdiction of the courts at [City].
