Collaboration / Partnership Agreement

A collaboration agreement under which two parties join hands to pursue a common business objective, sharing roles, contributions and rewards.

COLLABORATION / PARTNERSHIP AGREEMENT

This Collaboration Agreement is made on [Date] between [Party A Name], having its office at [Address] ("First Party"), and [Party B Name], having its office at [Address] ("Second Party").

  1. Objective. The parties agree to collaborate to [Common Objective / Project] and combine their respective strengths, with effect from the Effective Date.
  2. Roles & Contributions. The First Party shall contribute [Role / Resources] and the Second Party shall contribute [Role / Resources] towards the collaboration.
  3. Cost Sharing. The costs of the collaboration shall be shared in the ratio of [Percentage]% : [Percentage]% or as otherwise agreed for specific activities.
  4. Revenue / Benefit Sharing. Revenue or benefits arising from the collaboration shall be shared in the ratio of [Percentage]% to the First Party and [Percentage]% to the Second Party.
  5. Intellectual Property. Each party retains its background IP; jointly developed IP shall be owned as mutually agreed and recorded in writing.
  6. Exclusivity. During the term, the parties [shall / shall not] undertake a competing collaboration in respect of the subject matter.
  7. Confidentiality. Each party shall keep confidential all information shared under this collaboration and use it only for the stated objective.
  8. Governance. A steering committee/nominees of both parties shall meet periodically to review progress and resolve operational matters.
  9. Term & Exit. This Agreement shall continue until [End Date] and may be terminated on [Number] days' notice, subject to settlement of accrued rights and obligations.
  10. Governing Law & Dispute Resolution. This Agreement is governed by Indian law; disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated at [City].
