3. Term. This Agreement is effective from [Effective Date] for [Number] years, renewable by mutual consent.

4. Pricing, Payment and GST. The Reseller shall purchase at the reseller price in Schedule A, exclusive of GST charged at the applicable rate on each tax invoice. Payment is due within [Number] days. The Reseller sets its own resale price and margin. TDS/TCS applies as per law.

5. Obligations. The Reseller shall market the Products in good faith, not make unauthorised warranties, and comply with the Company's brand guidelines. The Company shall supply the Products and provide reasonable support and updates.

6. Intellectual Property. The Reseller may use the Company's trademarks only for authorised resale and acquires no ownership rights. All goodwill accrues to the Company.

8. Indemnity. Each Party shall indemnify the other against claims and losses arising from its breach, misrepresentation or infringement of third-party rights.
