Logistics / Transport Agreement

An agreement engaging a transporter to carry and deliver a customer's goods between specified locations.

LOGISTICS / TRANSPORT AGREEMENT

This Agreement is made on [Effective Date] between [Transporter Name] and [Customer Name].

1. Parties. This Logistics / Transport Agreement is made between [Transporter Name], of [Transporter Address], GSTIN [Transporter GSTIN] (the "Transporter"), and [Customer Name], of [Customer Address] (the "Customer"), together the "Parties".

2. Scope of Services. The Transporter shall provide transportation and delivery of the Customer's goods between [Origin] and [Destination] as per Schedule A, including loading, transit, and delivery with proper documentation and e-way bills.

3. Term. This Agreement is effective from [Effective Date] for [Number] years, renewable by mutual consent.

4. Freight, Payment and GST. The Customer shall pay freight charges of Rs. [Amount] per [trip / tonne / km] as per Schedule A. GST on transport shall be handled per applicable law (including reverse charge where the Transporter is a GTA). Payment is due within [Number] days of delivery and invoice. TDS shall be deducted as per law.

5. Obligations and Liability. The Transporter shall carry the goods safely, on time, and in compliance with the Motor Vehicles Act and transport regulations. The Transporter's liability for loss or damage shall be as per the consignment note and applicable law. The Customer shall provide accurate consignment details and packing.

6. Intellectual Property. Any branding on vehicles or packaging remains the property of its owner and is used only for this Agreement.

7. Confidentiality. Each Party shall keep confidential the other's commercial and consignment information.

8. Indemnity. The Transporter shall indemnify the Customer against loss or damage to goods caused by its negligence, subject to agreed liability limits; the Customer shall indemnify against mis-declared or prohibited goods.

9. Termination. Either Party may terminate on [Number] days notice, or immediately for material breach uncured within [Number] days. Charges for services already rendered remain payable.

10. Governing Law, Jurisdiction and Arbitration. This Agreement is governed by the laws of India, subject to the exclusive jurisdiction of the courts at [City]. Disputes shall be referred to a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at [City], in English.
