Agency Agreement

An agreement appointing an agent to act on behalf of a principal to solicit business or represent it within a defined scope.

AGENCY AGREEMENT

This Agreement is made on [Effective Date] between [Principal Name] and [Agent Name].

1. Parties. This Agency Agreement is made between [Principal Name], of [Principal Address] (the "Principal"), and [Agent Name], of [Agent Address] (the "Agent"), together the "Parties".

2. Appointment and Scope. The Principal appoints the Agent as its [exclusive / non-exclusive] agent to promote, solicit orders for and represent the Principal's [Products / Services] within the territory of [Territory], on the terms set out herein.

3. Term. This Agreement is effective from [Effective Date] and continues for [Number] years unless terminated earlier.

4. Commission, Payment and GST. The Principal shall pay the Agent a commission of [Rate]% on the net value of orders procured and realised, exclusive of GST, which the Agent shall charge at the applicable rate on a valid tax invoice. Commission shall be paid within [Number] days of realisation. TDS shall be deducted as per law.

5. Authority and Obligations. The Agent shall act within the authority granted, shall not bind the Principal beyond agreed limits, and shall promote the Principal's interests diligently. The Principal shall supply information, samples and support.

6. Intellectual Property. The Agent may use the Principal's trademarks solely for authorised representation and acquires no rights therein.

7. Confidentiality. The Agent shall keep confidential all customer, pricing and business information of the Principal, during and after the Term.

8. Indemnity. The Agent shall indemnify the Principal against losses arising from unauthorised acts, misrepresentation or breach of this Agreement.

9. Termination. Either Party may terminate on [Number] days notice, or immediately for material breach uncured within [Number] days.

10. Governing Law, Jurisdiction and Arbitration. This Agreement is governed by the laws of India, subject to the exclusive jurisdiction of the courts at [City]. Disputes shall be resolved by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at [City], in English.
