Proficiency Test Exemption explained: this guide covers what it means, who it applies to, the step-by-step process, documents required, fees, due dates and penalties in India — so you can stay compliant with confidence and avoid costly mistakes.
Ten years of independent directorships may not exempt you. Three years in the right kind of organisation will.
The requirement
Section 150 prescribes the manner of selection of Independent Directors and maintenance of a databank of Independent Directors. A person appointed as an independent director, or who intends to be appointed, must apply online to the institute (IICA) for inclusion of his name in the data bank till he continues to hold the office of an ID and pass the online proficiency self-assessment test within the prescribed period from inclusion.
However, he shall not be required to pass the test, if he fulfils certain criteria as specified in Rule 6 of the Companies (Appointment and Qualification of Directors) Rules, 2014.
The five categories giving a proficiency test exemption
The handbook answers the question directly. If the person has served as a director or KMP in any one of the following companies, for a period of 3 years or more, then she is not required to pass the self-proficiency examination:
- Listed public company; or
- unlisted public company having a paid-up share capital of rupees ten crore or more; or
- body corporate listed on any recognized stock exchange or in a country which is a member State of Financial Action Task Force on Money Laundering and the regulator of the securities market in such member State is a member of the International Organisation for Securities Commissions; or
- bodies corporate incorporated outside India having a paid up share capital of US $2 million or more; or
- Statutory Corporations set up under an Act of Parliament or any State Legislature carrying on commercial activities.
The handbook's answer to a woman with more than ten years of independent directorships is notably guarded: it will depend on the type of Company(ies) where she had served as Independent Director.
That is the key to the whole rule. The exemption is not earned by time on boards; it is earned by time on boards of a particular kind.
Look at what the five categories have in common. Each describes an organisation subject to a demanding governance and disclosure regime — a listed public company, a substantial unlisted public company, a body corporate listed in an FATF member State whose regulator belongs to IOSCO, a sizeable overseas body corporate, or a statutory corporation carrying on commercial activities.
The premise is that three years inside such an organisation exposes a person to the material the test covers — company law, securities regulation, board process, financial reporting — in a way that service on a small private board does not.
So a candidate with a decade of directorships in private companies below the threshold must sit the test, while one with three years as a KMP of a single listed company need not. That outcome looks odd until the rationale is understood, and it is worth explaining to candidates who assume seniority is the measure.
Note also that the qualifying service can be as a director or KMP. A former chief financial officer or company secretary of a listed company qualifies without ever having held a board seat.
Rule 6 has been amended more than once since this handbook was written. Verify the current categories, the qualifying period and the test timeline before advising anyone.
The databank obligation, separately
The exemption is from the test, not from the databank. Inclusion in the independent directors data bank is required of every independent director and must be maintained till he continues to hold the office — an exempt person still registers and still renews.
Two related eligibility questions
| Question | Answer |
|---|---|
| Can a CA in full-time employment accept an independent directorship elsewhere? | Yes — an independent director is a non-executive director, provided there is no conflict of interest |
| Can a practising CA accept one? | Yes, on the same condition — and subject to the Clause (11) requirements for a Director Simplicitor |
Common mistakes
- Assuming length of board service alone gives the proficiency test exemption.
- Overlooking that KMP service qualifies as well as directorship.
- Treating the proficiency test exemption as covering databank registration too.
- Relying on a 2021 statement of rule 6 without checking amendments.
