Annual Return Certification explained: this guide covers what it means, who it applies to, the step-by-step process, documents required, fees, due dates and penalties in India — so you can stay compliant with confidence and avoid costly mistakes.
Three different thresholds decide who signs, who certifies, and whether the company gets an abridged form at all.
Signing, before annual return certification
Pursuant to the provisions of Section 92 of the CA, 2013 read with Rule 11 of the Companies (Management and Administration) Rules, 2014, annual return shall be signed in the following manner:
- In case of a Small Company and OPC, the annual return shall be signed by Company Secretary or where there is no Company Secretary, by a Director.
- In case of other companies, the annual return shall be signed by a Director and the Company Secretary, or where there is no Company Secretary, by a Practicing Company Secretary.
Annual return certification thresholds
Pursuant to the provisions of Section 92 read with Rule 11(2), the Annual Return of the following companies shall be certified by a Company Secretary in whole time practice:
- Every listed company;
- Every company having paid up share capital of INR 10 crore or more;
- Every company having turnover of INR 50 crore or more.
The certification test uses paid-up share capital of INR 10 crore or more or turnover of INR 50 crore or more. Either alone brings the company in.
That is deliberate, and it contrasts with the small company definition, where both limits must be satisfied. The purpose is different in each case.
A small company definition is granting relief, so it is drawn narrowly — a company must be small on both measures to qualify. A certification threshold is imposing an obligation, so it is drawn widely — a company substantial on either measure is significant enough to warrant independent verification of its return.
The signing rule adds a third distinction. A small company and OPC may have its return signed by a director alone if there is no company secretary. Every other company without a company secretary must have the return signed by a Practicing Company Secretary — so a director cannot sign alone.
Read together, the rules produce a graded scheme: the smallest companies sign for themselves; mid-sized ones must involve a professional in signing; and the largest must have a professional certify the contents.
Two things have moved since this 2019 edition. The requirement to attach an MGT-9 extract to the Board's report was omitted, leaving the website copy and the web-link disclosed in the Board's report as the disclosure route. And the abridged form of annual return the FAQ anticipates for OPCs and small companies has since been prescribed. Confirm the current forms before preparing a return.
Filing where no meeting was held
As per Section 92(4) of the CA, 2013, in case the Annual General Meeting of a company is not held, the Annual Return has to be filed within 60 days from the last date on which Annual General Meeting should have been held together with the statement specifying the reasons for not holding the Annual General Meeting.
The obligation to file does not depend on the meeting happening. A company that fails to hold its AGM still files, from the date the meeting should have been held, and must explain why it was not — so the default is disclosed rather than concealed by a missing filing.
Preservation and disclosure
| Requirement | Position |
|---|---|
| Preservation of annual returns | Eight years from the date of filing with the Registrar, with all annexed certificates and documents |
| Website | A copy placed on the company's website, if any |
| Board's report | The web-link of the annual return disclosed |
| Register of members | Preserved permanently |
| Register of debenture holders and other security holders | Eight years from the date of redemption |
Common mistakes
- Treating the annual return certification thresholds as cumulative rather than alternative.
- Allowing a director to sign alone where the company is not a small company or OPC.
- Not filing at all where the annual general meeting was missed.
- Attaching an MGT-9 extract in place of the web-link disclosure.
