Rule 1 gives the Rules their name and says when they took effect. Rule 2 defines thirty terms; this article covers clauses (1) to (14) and maps the twenty Parts that follow. The rest of rule 2, from "interlocutory application" to "transferred petition", is in a companion article.

Rule 1: short title and commencement

Rule 1(1) allows the Rules to be called the National Company Law Tribunal Rules, 2016. Rule 1(2) says they come into force on the date of their publication in the Official Gazette. The notification is G.S.R. 716(E) of 21 July 2016, issued under section 469 of the Act. Part I is headed "Definitions and forms etc." as substituted by G.S.R. 1159(E).

Five amendment notifications are held for these Rules, from 2016 to 2020; later amendments, if any, should be checked on the official gazette before relying on this article. If you want these definitions applied to a filing, a short legal consultation before drafting is sensible.

Authorised representative and Bench

Clause (6) ties the representative to section 432; our post on sections 432 and 433 covers representation. Clause (7) ties the Bench to section 419; see section 419 on Benches of the NCLT and sections 408 to 418 on the constitution of the NCLT and NCLAT.

Clause (9): "certified"

A copy is "certified" if it is:

  • (a) certified as provided in section 76 of the Indian Evidence Act, 1872;
  • (b) certified as provided in section 6 of the Information Technology Act, 2000;
  • (c) a certified copy issued by the Registrar of Companies under the Act; or
  • (d) a copy downloaded from an online portal prescribed under section 398 of the Act, or a photocopy of the original relating to a company registered with the office of the Registrar of Companies of the concerned State, duly certified by a legal practitioner or a chartered accountant in practice or a cost accountant in practice or a company secretary in practice.

The words "in practice" in clause (d) came in by G.S.R. 1159(E) of 20 December 2016; the 2016 wording without them is not the rule today. The Indian Evidence Act, 1872 has since been replaced; check the corresponding provision in the current law before relying on the reference.

Clause (12): "fee"

The Rules point to the Schedule of Fees for amounts. The Schedule, as amended, is read in the article on rule 112 and the Schedule of Fees.

Same as before the NCLAT?

The NCLAT Rules define only nine terms and take the rest from the Act and these Rules. See Rules 1 and 2 of the NCLAT Rules.

An example

Brightwater Foods Private Limited wants to file a copy of its incorporation certificate downloaded from the MCA portal. Under rule 2(9)(d) the downloaded copy is "certified" if duly certified by a legal practitioner or a chartered accountant, cost accountant or company secretary in practice. A copy certified by a professional who is not in practice does not fit the clause as amended.
