A listed company does not print its full quarterly results in the newspaper. It publishes an extract: the company's identity, a short table of key figures for the quarter, the nine months and the year, a line telling readers where the full results are available, and the name of the person who signs for the Board. This article gives a specimen of that extract and explains each part.

When you need this publication

A company whose securities are listed files its quarterly financial results with the stock exchange under Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and publishes a newspaper extract of those results. The same layout is used for the quarter and the nine months ended in December; for other quarters the period captions change (quarter, half year, year). The extract is a public notice in character: it informs investors and the public, and it is an advertisement the company pays for, so every word and figure in it must match the results approved by the Board.

The law behind it

The full results are filed with the stock exchange under Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The newspaper extract is an abridged public intimation of those results. The listing regulations and the circulars under them prescribe the exact periods, the format and the publication requirements. Those formats are updated from time to time: use the version notified or approved by the authority, and check the current regulation, circular and timing before you publish. Stamp duty, registration and execution

A newspaper extract is a notice. It is not an instrument chargeable with stamp duty and it is not registered. Execution means Board approval of the results, finalisation of the extract by the company secretary or finance head, signature or authorisation by the director who signs for the Board, and publication in the newspapers that the regulations and the company's own policy require. Keep the cutting, the invoice from the publisher and the file copy with the results records. If a related agreement or deed is executed in connection with the filing, duty on that instrument is fixed by the State Stamp Act and Schedule where it is executed; see our overview of stamp duty on legal documents.

Variations

  • Standalone and consolidated: where both are published, show both sets of figures in the table or in two tables.
  • Quarter, half year, year: change the heading and the period columns to match.
  • Audited annual results: change "unaudited" to "audited" and adjust the columns to the year and the last quarter.
  • Different units: state the unit once, above the table.

Common mistakes

  1. Using an old layout instead of the latest format notified by the authority.
  2. A figure in the extract that differs from the filed results, even in rounding.
  3. Missing CIN, registered office or website in the header.
  4. Calling results "audited" when only a limited review has been done, or the reverse.
  5. Wrong period captions, for instance a nine months column in a September quarter.
  6. A web address for the full results that does not open.
  7. No date and place, or the signatory's designation missing.
  8. Publishing before the Board has approved the results.
