Transfer Shares explained: this guide covers what it means, who it applies to, the step-by-step process, documents required, fees, due dates and penalties in India — so you can stay compliant with confidence and avoid costly mistakes.
To transfer shares in a private company, comply with any transfer restrictions in the Articles, execute a duly stamped Form SH-4, deliver it with the share certificate to the company within 60 days, obtain Board approval, and record the transfer in the register of members before issuing a fresh certificate.
Overview
Shares in a private company are movable property and transferable subject to the restrictions in the Articles. A transfer requires a properly executed and stamped instrument (Form SH-4), Board approval and updating of statutory records. Since a private company restricts transferability by definition, the Articles must be checked first.
When It Is Required & Legal Basis
Section 56 of the Companies Act, 2013 read with Rule 11 of the Companies (Share Capital and Debentures) Rules, 2014 governs transfer of securities and prescribes Form SH-4. Section 2(68) allows a private company to restrict the right to transfer its shares through its Articles.
Step-by-Step Process
- Check the Articles. Identify any right of first refusal, pre-emption or board-consent requirement and comply with it.
- Execute SH-4. Complete Form SH-4, affix share transfer stamps (0.015% of consideration) and have both parties sign and date it.
- Deliver to company. Submit the executed SH-4 with the original share certificate within 60 days of execution.
- Board approval. The Board considers and approves the transfer at a meeting, recording any objection.
- Update register. Record the transfer in the register of members (Form MGT-1).
- Issue certificate. Endorse or issue a new share certificate within one month.
Forms, Attachments & Fees
| Form | Purpose | Timeline |
|---|---|---|
| SH-4 | Instrument of transfer of shares | Deliver within 60 days of execution |
| MGT-1 | Update register of members | On approval of transfer |
Stamp duty is 0.015% of the consideration or market value (whichever higher), the same across India. No ROC form is filed for an ordinary private-company transfer; it is a board-level process recorded internally.
Timeline & Due Dates
SH-4 must reach the company within 60 days of execution. The company must deliver the new certificate within one month of receiving the instrument (Section 56).
Penalty for Delay / Non-compliance
Under Section 56(6), default attracts a penalty of ₹50,000 on the company and every officer in default. An unstamped or improperly stamped SH-4 is inadmissible and the transfer cannot be registered.
Practical Tips
- Cancel and date the share transfer stamps to make them valid; undated stamps invite objection.
- Where the Articles have a right of first refusal, document the waiver/offer trail before executing SH-4.
- Keep the register of members and share transfer register updated contemporaneously.
