Reactivate a Deactivated DIN explained: this guide covers what it means, who it applies to, the step-by-step process, documents required, fees, due dates and penalties in India — so you can stay compliant with confidence and avoid costly mistakes.
Updated: DIR-3 KYC is no longer an annual filing
The Companies (Appointment and Qualification of Directors) Amendment Rules, 2025 (G.S.R. 943(E) dated 31 December 2025), in force from 31 March 2026, rewrote Rule 12A. DIR-3 KYC is now filed once every three consecutive financial years, on or before 30 June of the year following the third year — not every 30 June. A single unified Form DIR-3 KYC Web replaces the old e-form and web service. For anyone compliant at the changeover, the next filing is due 30 June 2028. A change in mobile number, email or address must still be updated within 30 days, and does not reset the three-year cycle. The ₹5,000 late fee and DIN deactivation are unchanged. Full explainer →
To reactivate a DIN deactivated for non-filing of KYC, log in to the MCA portal and file the pending DIR-3 KYC (or DIR-3 KYC Web) with the ₹5,000 late fee. Once approved, the DIN status returns to "Approved", usually within a day or two.
Overview
A DIN can move to "Deactivated" status for several reasons, but by far the most common is missing the DIR-3 KYC deadline. While deactivated, the number cannot be used to sign or file any MCA form, so the director is effectively locked out of company compliance. Reactivation simply means completing the pending KYC with the prescribed late fee.
When It Is Required & Legal Basis
Under Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014, a DIN not KYC-verified by its 30 June due date is deactivated. The proviso to the rule allows reactivation on filing the KYC with a fee of ₹5,000. Separately, disqualification under Section 164(2) of the Companies Act, 2013 also deactivates a DIN, but that is cured only when the disqualification ends or is set aside.
Step-by-Step Process
- Confirm the reason. Use the MCA "Enquire DIN Status" service to confirm the DIN shows "Deactivated due to non-filing of DIR-3 KYC".
- Choose the KYC form. If details are unchanged and you filed the e-form earlier, use DIR-3 KYC Web; otherwise use the full e-Form DIR-3 KYC.
- Enter details and OTP. Verify your unique personal mobile and email by OTP; attach proofs if the e-form is used.
- Certification. Get the e-form certified by a practising CA, CS or CMA (not required for Web KYC).
- Pay ₹5,000 late fee. Pay the statutory reactivation fee online and submit.
- Confirm status. After processing, check the DIN status — it should read "Approved" again.
Forms, Attachments & Fees
| Item | Purpose | Fee / Timeline |
|---|---|---|
| DIR-3 KYC / KYC Web | Complete pending KYC to reactivate | ₹5,000 late fee |
| PAN, Aadhaar/passport, address proof | Identity/address (e-form) | Self-attested attachments |
| DSC | Sign the e-form | Must be valid, PAN-linked |
| Status check | Enquire DIN Status service | Updates in 1–2 days |
Timeline & Due Dates
There is no separate deadline to reactivate — you may do it any time by paying the late fee. But since all MCA filings by that director are frozen meanwhile, act quickly, especially before annual filing deadlines like AOC-4 and MGT-7.
Penalty for Delay / Non-compliance
The ₹5,000 fee is itself the penalty for late KYC. There is no additional daily fine for KYC, but consequential defaults — such as late annual returns because the director could not sign — carry their own per-day additional fees, so delay is costly indirectly.
Practical Tips
- Reactivate before you need to file any time-bound form so the director's DSC works.
- Don't confuse KYC deactivation with Section 164(2) disqualification — the cures are entirely different.
- After reactivation, set an annual reminder for 30 June so it never recurs.
- Keep the same personal email/mobile across years to make Web KYC smooth.
