To file AOC-4, adopt the audited financial statements at the AGM, then file Form AOC-4 (or AOC-4 XBRL / AOC-4 CFS as applicable) with the ROC within 30 days of the AGM under Section 137 of the Companies Act, 2013, attaching the balance sheet, P&L, Board's report and auditor's report.
Overview
AOC-4 is the annual filing through which a company submits its audited financial statements to the Registrar of Companies. It is one half of the annual compliance pair, the other being MGT-7/7A. Different variants apply for XBRL filers and companies filing consolidated statements.
When It Is Required & Legal Basis
Section 137 of the Companies Act, 2013, read with Rule 12 of the Companies (Accounts) Rules, 2014, requires every company to file its financial statements adopted at the AGM. Companies with subsidiaries also file consolidated statements in AOC-4 CFS, and specified companies file in XBRL format via AOC-4 XBRL.
Step-by-Step Process
- Finalise audited accounts. Complete the statutory audit and obtain the auditor's report.
- Adopt at the AGM. Present and adopt the financial statements at the annual general meeting.
- Choose the right variant. Determine whether AOC-4, AOC-4 XBRL or AOC-4 CFS applies.
- Assemble attachments. Attach the balance sheet, P&L, cash flow (if applicable), Board's report, auditor's report and CSR/secretarial reports where relevant.
- Certify the form. Get AOC-4 digitally signed by a director and certified by a practising professional.
- File within 30 days. File AOC-4 with the ROC within 30 days of the AGM and pay the fee.
Forms, Attachments & Fees
| Form | Purpose | Due Date |
|---|---|---|
| AOC-4 | File financial statements (standalone) | Within 30 days of AGM |
| AOC-4 CFS | File consolidated financial statements | Within 30 days of AGM |
| AOC-4 XBRL | XBRL filing for specified companies | Within 30 days of AGM |
Normal MCA fee follows the authorised-capital slab (about ₹200 to ₹600). Late filing attracts an additional fee of ₹100 per day with no upper limit.
Timeline & Due Dates
AOC-4 is due within 30 days of the AGM. For most companies holding the AGM by 30 September, the filing falls due by 30 October. One-person companies, which need not hold an AGM, file AOC-4 within 180 days of the close of the financial year.
Penalty for Delay / Non-compliance
Under Section 137(3), the company is liable to a penalty of ₹10,000, plus ₹100 per day of continuing failure subject to a maximum of ₹2,00,000. The managing director and CFO (or in their absence, directors in default) are liable to ₹10,000 plus ₹100 per day up to ₹50,000. This is in addition to the ₹100-per-day additional filing fee.
Practical Tips
- File AOC-4 before MGT-7 — the annual return references the financials.
- Confirm your XBRL applicability early; converting statements to XBRL late causes filing delays.
- Ensure the Board's report includes all mandatory disclosures (CSR, related-party, energy conservation) to avoid rework.
