Apply for a DIN explained: this guide covers what it means, who it applies to, the step-by-step process, documents required, fees, due dates and penalties in India — so you can stay compliant with confidence and avoid costly mistakes.
To apply for a DIN, obtain a Class 3 DSC, fill e-Form DIR-3 on the MCA portal with identity and address proof, get it certified by a practising professional, pay the ₹500 fee and submit. The DIN is generated instantly on approval.
Overview
A Director Identification Number (DIN) is a unique lifetime number the Ministry of Corporate Affairs allots to every individual who intends to become a director of a company. You need a DIN before you can be appointed as a director in an existing company. For the first directors of a brand-new company, the DIN is applied for inside SPICe+ — DIR-3 is used only to obtain a DIN for appointment in an already-registered company.
When It Is Required & Legal Basis
Section 153 of the Companies Act, 2013 read with Rule 9 of the Companies (Appointment and Qualification of Directors) Rules, 2014 governs DIN allotment. Section 152(3) prohibits appointing anyone as a director unless he has been allotted a DIN. So an existing company that wants to add a new director must ensure that person first holds a valid DIN.
Step-by-Step Process
- Obtain a DSC. The applicant procures a Class 3 Digital Signature Certificate from a licensed certifying authority; this is used to sign DIR-3.
- Prepare documents. Keep PAN (mandatory for Indian nationals), Aadhaar or passport, a recent passport-size photo and a current address proof (bank statement/utility bill not older than two months).
- Fill e-Form DIR-3. Log in to the MCA portal, open DIR-3 and enter personal particulars, nationality, occupation and the CIN of the company in which appointment is proposed.
- Professional certification. A practising CA, CS or CMA, or an existing director of that company, digitally verifies and certifies the form.
- Pay fee and submit. Pay the ₹500 statutory fee online and submit. On successful processing an approved DIN is generated, usually the same day.
- Appointment. The company then appoints the person as director and files DIR-12 within 30 days of appointment.
Forms, Attachments & Fees
| Item | Detail | Fee / Timeline |
|---|---|---|
| DIR-3 | Application for allotment of DIN | ₹500; usually approved same day |
| PAN / passport | Identity proof (self-attested) | Mandatory attachment |
| Address proof | Bank statement / utility bill (≤2 months) | Mandatory attachment |
| Photograph | Recent passport-size photo | Mandatory attachment |
| DIR-12 | Appointment of director (post-DIN) | Within 30 days of appointment |
Timeline & Due Dates
A properly certified DIR-3 with valid attachments is generally approved on the same working day, as DIN allotment is largely system-driven. If details are incomplete the form is marked for resubmission and you get 15 days to rectify. There is no statutory outer time limit to apply for a DIN itself, but the linked appointment must be filed within 30 days.
Penalty for Delay / Non-compliance
Acting as a director without a valid DIN, or a company appointing one, attracts penalty under Section 159 — up to ₹50,000, and a further ₹500 per day for a continuing default. Furnishing false particulars in DIR-3 invites action under Section 448 for false statements.
Practical Tips
- Ensure the name and date of birth in DIR-3 exactly match the PAN database — mismatch is the top rejection reason.
- Foreign nationals must get documents apostilled or notarised as applicable; a passport is mandatory instead of PAN.
- Never apply for a second DIN — check the MCA "Enquire DIN Status" service first.
- Keep the DSC PAN-linked so the signature validates without error.
