Key ROC compliance terms explained
Annual filing vs event-based
Annual filings recur every year on a fixed cycle — AOC-4 (financials), MGT-7 (annual return), Form 11 / Form 8 for LLPs, DIR-3 KYC and DPT-3. Event-based filings are triggered by something happening — appointing a director, changing the registered office, allotting shares or appointing an auditor (ADT-1). This calendar focuses on the recurring annual events.
AGM & the AOC-4 / MGT-7 chain
A company must hold its Annual General Meeting by 30 September. AOC-4 (financial statements) is filed within 30 days of the AGM and MGT-7 (annual return) within 60 days. So a 30 September AGM pushes AOC-4 to ~29 October and MGT-7 to ~28 November. Shift your AGM and these two dates shift with it.
Additional fees for delay
Miss a due date and MCA charges an additional fee of ₹100 per day, per form, with no upper cap — a form filed 100 days late costs ₹10,000 extra on top of normal fees. LLP forms and annual returns carry the same ₹100/day levy, so even a small delay adds up fast.
DIR-3 KYC & DPT-3
DIR-3 KYC is an annual KYC every person holding a DIN must file by 30 September; miss it and the DIN is deactivated with a ₹5,000 reactivation fee. DPT-3 is an annual return of deposits and outstanding loans, due 30 June for the year ended 31 March.
What are the main annual ROC dates for a company?
The AGM within six months of the financial year end, so normally by 30 September; AOC-4 within 30 days of the AGM; MGT-7 or MGT-7A within 60 days of the AGM; DPT-3 by 30 June; and DIR-3 KYC by 30 June in the director's due year.
What are the LLP dates?
Form 11, the annual return, by 30 May, and Form 8, the statement of account and solvency, by 30 October. The income-tax return follows by 31 July, or 31 October where an audit applies.
How many board meetings must a company hold?
At least four in a year with not more than 120 days between two consecutive meetings. A small company or an OPC with a single director has relaxed requirements — two meetings a year, one in each half, with a gap of at least 90 days.
Which filings are commonly forgotten?
DPT-3, the auditor appointment intimation in ADT-1, MBP-1 and DIR-8 disclosures at the first board meeting of the year, and the annual return of the previous year when a company has been dormant.
What if the AGM cannot be held in time?
An extension of up to three months can be sought from the Registrar in Form GNL-1 before the due date, on adequate grounds. The first AGM cannot be extended.
