Every business starts with an entity and a PAN/TAN, then layers on registrations as it grows — the moment it sells across states, crosses a turnover threshold, hires staff or handles food. Here is what triggers each one.

Entity + PAN / TAN

Always

The entity registration itself (firm deed, LLP or company incorporation) plus a PAN, and a TAN once you deduct TDS on salaries or vendor payments. The foundation for everything else.

GST

Threshold · Interstate · E-commerce

Mandatory once turnover crosses ₹40L (goods) or ₹20L (services), or immediately if you supply interstate or sell through an e-commerce operator — regardless of turnover.

Udyam / MSME

Wants MSME benefits

Free online registration that unlocks priority-sector lending, subsidies, tender preference and protection against delayed payments. Recommended for almost every small business.

Shops & Establishment

Physical premises with staff

A state licence required for any commercial premises (shop, office, godown) employing people. Governs working hours, leave and conditions of employment.

Professional Tax

Employer in a PT state

Levied by many states (Maharashtra, Karnataka, West Bengal and others). Employers register to deduct and deposit PT from salaries; some states also need enrolment for the business itself.

Provident Fund (EPF)

More than 20 employees

Mandatory once you employ 20 or more people. The employer and employee each contribute 12% of basic wages toward retirement savings.

ESI

More than 10 employees

Employees' State Insurance is mandatory at 10 or more employees (in covered areas) for staff earning up to the wage ceiling, providing medical and cash benefits.

FSSAI

Handles food

Any business that manufactures, stores, sells or serves food must hold an FSSAI registration or licence — the tier (basic, state, central) depends on turnover and scale.

IEC

Import / export

The Importer-Exporter Code from DGFT is a one-time, PAN-based code required to clear goods through customs and to receive or send foreign payments for trade.

Trademark

Building a brand

Registers your brand name and logo, giving exclusive nationwide rights and the ® symbol. Not compulsory, but the cheapest insurance against copycats.

Startup India (DPIIT)

Eligible innovative Pvt Ltd / LLP

Recognition for an LLP or Pvt Ltd under 10 years old with turnover under ₹100 Cr and an innovative model — brings tax holidays, easier compliance and funding access.

GST (voluntary)

Below threshold but useful

Even below the threshold, voluntary GST lets you claim input credit and sell to GST-registered buyers who insist on tax invoices. Often worth it for B2B.

Key terms explained

GST turnover threshold

Registration becomes compulsory once aggregate turnover crosses ₹40 lakh for goods or ₹20 lakh for services (₹20L / ₹10L in special-category states). But interstate supply and e-commerce sales require GST from rupee one.

Mandatory vs recommended

Mandatory registrations are demanded by law once a trigger is hit — skipping them risks penalties. Recommended ones (Udyam, trademark, voluntary GST) are optional but usually pay for themselves quickly.

PF vs ESI thresholds

They kick in at different headcounts: ESI at 10+ employees and PF at 20+ employees. Below those counts neither is compulsory, though voluntary coverage is possible.

Shops Act & Professional Tax

Both are state-level. A Shops & Establishment licence covers any commercial premises with staff; Professional Tax applies only in states that levy it and is deducted from salaries by the employer.

01Which registrations does a new business actually need?

Almost always PAN and TAN, a bank account, and GST above the threshold or wherever it is compulsory. Then it depends: Udyam for MSME benefits, Shops & Establishment or a trade licence, professional tax, FSSAI for food, IEC for trade, and any sector licence.

02Should I register for GST before I need to?

Only if your customers need input credit, or you are buying inputs on which the tax would otherwise be a cost. Voluntary registration brings the whole return-filing obligation, so it is a real commitment, not a formality.

03Is Udyam registration worth taking?

Yes, in almost every case. It is free, takes minutes, and unlocks the 45-day payment protection, procurement preference, collateral-free credit schemes and subsidised IP filing fees.

04Which registrations depend on hiring?

EPF once you have 20 employees, ESI at 10 in most states, professional tax registration as an employer from the first employee in states that levy it, and Shops & Establishment registration for the premises.

05Can I add registrations later?

Yes, and for most it is normal to do so as the business crosses thresholds. The ones worth doing at the start are the ones that are conditions for operating at all — a trade licence, FSSAI, or a sector-specific licence.
