Quotation vs Proforma vs Invoice

A quotation (or estimate) is an offer of price before the client agrees — non-binding and time-limited. A proforma invoice is a provisional bill sent once the client is ready to proceed, often used to request advance payment. A tax invoice is the final legal document raised after supply, on which GST is actually charged and input credit is claimed.

Validity of a quotation

A quotation should always carry a valid-till date. Prices, availability and tax rates can change, so most businesses keep quotes valid for 15–30 days. Beyond that date the client must ask for a fresh quote — this protects you from being held to old pricing.

Discount, taxable value & GST

Discount is applied to the subtotal first; GST is then charged on the discounted taxable value, not the gross. So a ₹2,500 subtotal with 0% discount and 18% GST becomes ₹2,500 taxable + ₹450 GST = ₹2,950. Always show tax separately so the client can verify it.

Converting a quote to an order

Once the client accepts, the quotation becomes the basis of a purchase order or work order. You then raise a GST-compliant tax invoice mirroring the accepted items and rates. Keeping the quote and invoice aligned avoids disputes and makes your books audit-ready.

How long should a quotation stay valid?

Fifteen to thirty days is common. Stating a validity protects you when input costs move, and gives the client a reason to decide.

Should GST be shown on a quotation?

Yes, separately, so the client knows whether the price is inclusive or exclusive. Ambiguity on this is one of the most frequent causes of a dispute at invoicing.

Is a quotation binding?

It is an offer. Once the client accepts it within its validity, a contract comes into existence on those terms, which is why exclusions and assumptions belong in the quotation itself rather than in a later email.

What is the difference between a quotation and an estimate?

A quotation is a firm price for a defined scope. An estimate is an approximation for work whose extent is not yet known, and is expected to change once the scope is settled.
