Key terms explained

Section 406

Nidhi Companies are governed by Section 406 of the Companies Act, 2013 and the Nidhi Rules, 2014. Their sole object is to cultivate the habit of thrift and savings among members and to lend only to members.

NDH-1 & NDH-4

NDH-1 is filed within 90 days of the end of the first financial year to declare member and NOF status; NDH-4 is the application to be declared a Nidhi. Their MCA filing fees are not included in this estimate.

200 members in 1 year

A Nidhi must have at least 200 members within one year of incorporation (starting from a minimum of 7). Failing this, it must apply for extension or stop accepting deposits.

₹10 lakh NOF

Net Owned Funds must be at least ₹10 lakh (and the NOF-to-deposit ratio not more than 1:20). This is why the minimum equity capital at incorporation is set at ₹10 lakh.

Questions people ask

Short answers on Nidhi Company Registration Cost. Tap a question to open it.

01What is a Nidhi company?

A public company incorporated under section 406 of the Companies Act to cultivate thrift and savings among its members, and to receive deposits from and lend only to its members. It cannot deal with anyone outside its membership.

02What are the incorporation requirements?

At least seven members and three directors, and a minimum paid-up equity share capital of ₹10 lakh at incorporation. The name must end with "Nidhi Limited".

03What must a Nidhi company achieve within 120 days?

At least 200 members, net owned funds of at least ₹20 lakh, a net owned funds to deposits ratio of not more than 1:20, and unencumbered term deposits of at least 10% of outstanding deposits. Form NDH-4 is then filed for declaration as a Nidhi.

04What can a Nidhi company not do?

It cannot carry on chit fund, hire purchase, leasing or insurance business, issue preference shares or debentures, open a current account for members, accept deposits from or lend to non-members, or advertise for deposits.

05Does it need RBI registration?

No. Nidhi companies are exempt from most RBI regulation and are regulated by the Ministry of Corporate Affairs under the Nidhi Rules, which is why they are a lighter alternative to an NBFC for member-based lending.
