Amending the MOA / AOA — process & forms
The Memorandum (MOA) sets out your company's name, registered office state, objects and capital; the Articles (AOA) set the internal rules. Altering either needs a special resolution (75% majority) in a general meeting under Section 13 (MOA) or Section 14 (AOA), followed by filing MGT-14 with the ROC within 30 days. Some alterations trigger an extra e-form on top.

Amendment cost — by alteration type
At the default ₹10 lakh authorized capital, every form is on the ₹400 slab. The government cost is the sum of MGT-14 plus any type-specific form.
Worked example
A private company with ₹10 lakh authorized capital adopts a fresh set of Articles (AOA). Only MGT-14 is required, on the ₹5L–₹10L slab (₹400).

Section 13 & 14
Section 13 governs alteration of the Memorandum (name, registered office, objects, capital clause); Section 14 governs alteration of the Articles of Association. Both require a special resolution.
Special resolution
A resolution passed by at least a 75% majority of members voting at a general meeting (usually an EGM). MOA/AOA alterations cannot be done by an ordinary resolution.
MGT-14 within 30 days
The special resolution must be filed with the ROC in Form MGT-14 within 30 days of passing, along with the certified resolution and altered MOA/AOA. Late filing attracts additional fees.
Type-specific forms
Name change → INC-24 (central-govt approval); increase of authorized capital → SH-7; shifting registered office within the same state → INC-22. Each carries its own capital-slab fee.

01When does the MOA or AOA need to be altered?
To change the name, the registered office from one state to another, the objects clause, the authorised capital, or to convert from private to public or the reverse. The Articles are altered to change internal governance rules such as borrowing powers or share transfer restrictions.
02What is the procedure to alter the MOA?
A Board resolution, then a special resolution at a general meeting, then filing MGT-14 within 30 days. Some alterations need further approval — a change of registered office between states needs central government approval in INC-23 and INC-28.
03What does an amendment cost?
MCA filing fees on MGT-14 and any accompanying form, charged on the share capital slab, and stamp duty where the alteration affects capital.
04Can the objects clause be changed freely?
Yes, by special resolution, but a company that has raised money from the public and has unutilised proceeds must also comply with the additional conditions in section 13(8), including a dissenting shareholders' exit.
05Do the Articles need to be altered every time the law changes?
Not necessarily — a provision in the Articles that conflicts with the Act is void to that extent. But companies incorporated under the 1956 Act often carry outdated Articles worth replacing with a Table F-based set.
