How the LLP registration timeline works
LLP incorporation follows four broad stages. Expected duration depends on how quickly documents and name approval come through from the MCA.
What does it cost to register an LLP?
MCA fees on the FiLLiP form based on the contribution amount, stamp duty on the LLP agreement which varies by state and contribution, DSCs for the designated partners, name reservation, and professional fees for drafting and filing.
How many partners are needed?
At least two partners and two designated partners, of whom at least one must be resident in India. There is no upper limit on the number of partners.
Is there a minimum capital for an LLP?
No. Contribution can be any amount agreed between the partners, and can be in cash or in kind. Stamp duty on the agreement is linked to the contribution, so a very high figure raises the cost of formation.
When must the LLP agreement be filed?
In Form 3, within 30 days of incorporation. Filing it late attracts an additional fee of ₹100 per day, and until it is filed the partners' rights are governed by the default provisions of Schedule I.
What must be done right after LLP registration?
File Form 3 with the agreement, apply for PAN and TAN, open the bank account and bring in the contribution, obtain GST and other registrations as applicable, and calendar the Form 8 and Form 11 dates.
