Event-based compliance reference
Some ROC filings happen every year (like AOC-4 and MGT-7). Others are triggered only when a specific corporate event occurs — appointing a director, allotting shares, creating a charge and so on. Miss the deadline and additional fees of ₹100 per day (and sometimes penalties) start running. This is the master reference of event → MCA form → deadline.

How the finder works
Every event-based filing follows the same four-beat rhythm: approve it, file it, on time, with proof. The finder maps your event onto exactly these steps.
Pass the resolution
Convene a Board meeting (or an EGM/AGM where a members' resolution is required) and record the approval in the minutes as per Secretarial Standards SS-1 / SS-2.
Prepare the e-form
Fill the right MCA V3 web form (DIR-12, PAS-3, CHG-1…) with the event details and attach the resolution, consents and supporting documents.
File before the deadline
Upload with a DSC and pay the fee. Most event forms are due within 30 days of the event; a few (like MGT-14 or deposits) have their own clocks.
Update registers
Record the change in the statutory registers (members, directors, charges) and keep the SRN acknowledgement for your audit file.
Key terms explained
Event-based filing
An ROC filing triggered by a one-off corporate action rather than the annual cycle. The clock starts on the date of the event (e.g. the board resolution or allotment), and most forms must be filed within 30 days.
Additional fees
If you file late, MCA charges additional fees on top of the normal fee — commonly ₹100 per day for many event forms, and 2×–12× the normal fee for charge and annual forms. There is no cap on the daily charge for most e-forms.
SS-1 (Board) & SS-2 (General)
Secretarial Standard 1 governs Board meetings and SS-2 governs general meetings — notice, quorum, minutes and resolutions. Following them keeps the resolution behind your filing legally valid.
Ordinary vs special resolution
An ordinary resolution passes with a simple majority; a special resolution needs 75% and is required for bigger changes (name change, shift of office to another state, buy-back). Special resolutions are filed in MGT-14.
What is event-based compliance?
Filings triggered by something happening in the company rather than by the calendar — appointing or resigning a director, allotting shares, changing the registered office, altering the MOA, creating a charge, or appointing an auditor. Each has its own form and its own deadline from the date of the event.
What are the most commonly missed event-based filings?
DIR-12 for a director change, PAS-3 for allotment of shares, MGT-14 for resolutions requiring filing, CHG-1 for creation or modification of a charge, and INC-22 for a change of registered office. Missing these is the usual reason for a large additional fee at annual filing time.
What is the usual deadline for an event-based form?
Most are 30 days from the event. Charge creation in CHG-1 is 30 days extendable on payment of additional fees, PAS-3 is 30 days from allotment, and MGT-14 is 30 days from passing the resolution.
What is the cost of filing an event-based form late?
Additional fee is charged as a multiple of the normal fee based on the delay — 2x, 4x, 6x, 10x and 12x as the delay lengthens. Charge-related forms have their own steeper ad valorem additional fee.
How can I keep track of these deadlines?
