Disclaimer: Government fees only — professional fees are not included. Government fees are as notified (STK-2 ₹10,000 / Form 24 ₹500). Fees and additional fees for any overdue returns, and state stamp duty on the indemnity bond / affidavits, are extra and depend on your case.
What voluntary strike-off costs
If a company or LLP is dormant and has no assets or liabilities, closing it voluntarily avoids paying annual compliance year after year. The government side has two parts: the MCA filing fee for the strike-off form itself, and the fees and additional fees on any pending annual returns that must be filed before you can apply.
| Government filing fee (STK-2) | ₹10,000 |
| Pending AOC-4 / MGT-7 filings | As per MCA fee table |
| Government filing fee (Form 24) | ₹500 |
| Pending Form 8 / Form 11 filings | As per MCA fee table |
Key terms explained
Form STK-2
The application a company files with the ROC to strike its name off the register of companies. It needs a special resolution, an indemnity bond, affidavits and a statement of accounts, plus a ₹10,000 government fee.
LLP Form 24
The equivalent form for an LLP applying to be struck off. Form 8 and Form 11 must be up to date, and the LLP must have ceased business. The government fee is a flat ₹500.
Eligibility
Strike-off is available where the entity has NIL assets and liabilities and either never commenced business or has been inactive for two years or more. Existing dues must be cleared first.
Clear pending returns first
You cannot apply while annual returns are overdue. Each pending year carries its own MCA filing fee plus additional fees for late filing, so clearing them early keeps the government cost down.
Questions people ask
Short answers on Company/LLP Strike-Off Cost. Tap a question to open it.
01When can a company apply for strike-off?
Under section 248(2) a company can apply in Form STK-2 if it has not commenced business within a year of incorporation, or has not carried on any business for the two immediately preceding financial years. All liabilities must be settled and all overdue filings brought up to date first.
02What does strike-off cost?
The STK-2 government fee is ₹10,000. Before that, any pending annual filings must be cleared with their normal fees plus additional fees for the delay, and this is often the larger part of the government cost. Stamp duty on the indemnity bond and affidavits is also payable under state law.
03Do I have to file overdue AOC-4 and MGT-7 before strike-off?
Yes. The ROC will not entertain STK-2 while annual filings are outstanding, and those come with an additional fee of ₹100 per day per form. This is why closing early costs far less than closing after years of default.
04How does an LLP close down?
An LLP files Form 24 with the Registrar. It must have ceased business, have no liabilities, have closed its bank account, and have filed all overdue Form 8 and Form 11 returns.
05Can a struck-off company be restored?
Yes, by an appeal to the NCLT under section 252 within three years of the strike-off order, usually where the company was actually operating or owned property. It is far more expensive than closing correctly in the first place.
