How a company name change works
Changing a company's name under Section 13 of the Companies Act, 2013 is a five-step MCA process. The board approves it, shareholders pass a special resolution, the new name is reserved through RUN, and two e-forms (MGT-14 and INC-24) are filed — after which the ROC issues a fresh Certificate of Incorporation with the same CIN.
RUN approval
Reserve the new name via RUN. Govt fee ₹1,000. Valid 20 days.
Special resolution
Board meeting + EGM to pass a special resolution (75%) altering MOA/AOA.
MGT-14
File the special resolution within 30 days. Fee by capital ₹300–₹600.
INC-24
Apply to Central Govt for approval of change. Fee by capital ₹300–₹600.
Fresh COI
ROC issues a new Certificate of Incorporation — same CIN.

Key terms explained
Section 13
The provision of the Companies Act, 2013 that governs alteration of the Memorandum of Association — including the company name. A name change requires a special resolution and Central Government approval under this section.
Special resolution
A resolution passed by at least 75% of votes in a general meeting. Filed with the ROC in MGT-14 within 30 days. A simple majority is not enough to change the name.
INC-24
The application to the Central Government (RD/ROC) for approval of the change of name. Filed after MGT-14; on approval the ROC issues a fresh Certificate of Incorporation.
CIN stays the same
A name change does not change your Corporate Identity Number, PAN or bank account. Only the name printed on the COI, PAN card and records is updated — the legal entity continues unchanged.
What is the process to change a company name?
Pass a Board resolution, reserve the new name through SPICe+ Part A, hold a general meeting to pass a special resolution, file MGT-14 within 30 days, then file INC-24 for central government approval. The ROC issues a fresh incorporation certificate on approval.
What does a name change cost?
MCA fees on RUN/SPICe+ Part A, MGT-14 and INC-24 — the last two charged on your share capital slab — plus stamp duty on the altered MOA in some states, and professional fees for drafting and filing.
Does changing the name affect the CIN, PAN or GST registration?
The CIN changes only if the change also alters the listing status or state. PAN, TAN, GST, bank accounts, licences and contracts all need to be updated with the new name, which is why the change takes a few weeks to complete fully.
Does a name change affect existing liabilities or contracts?
No. The company is the same legal person; only its name changes. Existing contracts, assets and liabilities continue, though counterparties should be notified and records updated.
How long does a company name change take?
Typically three to four weeks from the general meeting, depending on how quickly the new name is approved and INC-24 is processed.
