How Pvt Ltd incorporation works
A Private Limited Company is registered entirely online through the MCA's integrated SPICe+ web form. From name reservation to certificate, the process runs in four phases — and modern SPICe+ bundles PAN, TAN, GST, EPFO, ESIC and a bank account into a single application.
Set up basics
Arrange 2 directors (1 resident) and 2 shareholders, get Class-3 DSCs, and shortlist 2 unique names.
Gather documents
Collect PAN, Aadhaar, address proofs, photos and registered-office proof (rent + NOC + utility bill).
File SPICe+
Reserve the name (Part A), file Part B with e-MOA, e-AOA, AGILE-PRO and INC-9, then pay fees & stamp duty.
Go compliant
On the CoI, open a bank account, file INC-20A, appoint an auditor and issue share certificates.
Key terms explained
SPICe+ (INC-32)
Simplified Proforma for Incorporating a Company Electronically Plus — the MCA's single web form. Part A reserves the name; Part B does incorporation, DIN allotment, PAN/TAN, and links AGILE-PRO for GST/EPFO/ESIC/bank.
DSC & DIN
A Digital Signature Certificate (Class 3) lets directors sign e-forms; the Director Identification Number is a unique ID for every director, now allotted directly inside the SPICe+ application (up to 3 new DINs).
MOA & AOA
The Memorandum of Association (e-MOA / INC-33) states the company's objects and authorised capital; the Articles of Association (e-AOA / INC-34) set the internal rules for running it.
INC-20A
The declaration of commencement of business, filed within 180 days of incorporation, confirming subscribers have paid in their share capital. A company cannot start business or borrow until it is filed.
Authorised vs paid-up capital
Authorised capital is the maximum share capital the company may issue (set in the MOA); paid-up capital is the amount shareholders have actually paid in. There is no mandatory minimum paid-up capital for a Pvt Ltd company.
AGILE-PRO (INC-35)
The linked form that, along with SPICe+, obtains GSTIN, EPFO, ESIC, a bank account and profession tax registration in one go — so a new company is operational faster.
What are the main stages of incorporating a private limited company?
Four: collect and verify KYC of directors and shareholders, obtain DSCs and reserve a name (SPICe+ Part A or RUN), file SPICe+ Part B with e-MOA, e-AOA, AGILE-PRO and INC-9, and then complete post-incorporation steps — bank account, INC-20A, auditor appointment and share certificates.
What documents does each director and shareholder need?
PAN, Aadhaar, a passport-size photograph, one identity proof (passport, voter ID or driving licence) and one address proof not older than two months (bank statement or utility bill). Foreign nationals need apostilled or notarised documents.
What proof is needed for the registered office?
A recent utility bill for the premises plus, if rented, the rent agreement and a no-objection certificate from the owner. If owned by a director, ownership proof and an NOC.
How long does incorporation take?
With complete, consistent documents, typically 7 to 10 working days end to end. Most delays come from name rejection or a resubmission raised by the CRC on a document mismatch.
What must be done immediately after incorporation?
Open the company bank account, bring in the subscription money and file INC-20A within 180 days, appoint the first auditor within 30 days and file ADT-1, issue share certificates within 60 days and pay stamp duty on them, and start the statutory registers.
