  2. No such company has failed to repay the deposits accepted by it or to pay interest thereon, or to redeem any debentures on the due date or to pay interest due thereon, or to pay any dividend declared, and such failure to pay or redeem has continued for one year or more.

I understand that on incurring disqualification under Section 164(2), I shall vacate office in all companies other than the defaulting company as required under Section 167(1)(a), and I undertake to inform the Board immediately upon incurring any such disqualification.
