Section 194H — what changed in Budget 2025

Section 194H requires any person (other than an individual or HUF not liable to tax audit) paying commission or brokerage to a resident to deduct TDS. From FY 2026-27 the annual threshold was raised from ₹15,000 to ₹20,000, and the rate had already been cut from 5% to 2% with effect from 1 October 2024. If the payee has no PAN, Section 206AA pushes the rate up to 20%.

Section 194H TDS rates & threshold

Once the total commission or brokerage for the year crosses ₹20,000, TDS is deducted on the full amount (not just the excess). Below the threshold, no TDS is required.

No health & education cess or surcharge is added to TDS on payments to residents — the rate is applied flat on the commission amount.

How 194H TDS is calculated

Check whether the yearly commission exceeds ₹20,000 → if yes, apply 2% (PAN) or 20% (no PAN) on the full amount → the balance is paid to the payee, who claims the TDS credit in their return via 26AS / AIS.

TDS is deducted at the time of credit to the payee's account or payment, whichever is earlier. The full commission is subject to TDS once the ₹20,000 annual limit is crossed.

Key terms explained

Who must deduct (deductor)

The person paying the commission or brokerage deducts the TDS — companies, firms, and individuals or HUFs who were liable to tax audit in the preceding year. Individuals / HUF not under audit are not required to deduct under 194H.

Deposit & return

Deducted TDS must be deposited by the 7th of the following month (April deductions by 30 April for March), reported in Form 26Q, and a TDS certificate (Form 16A) issued to the payee.

26AS & AIS credit

The TDS reflects in the payee's Form 26AS and AIS. The deductee (payee) claims it as a credit against their own tax liability when filing their income tax return.

No PAN — Section 206AA

If the payee does not furnish a valid PAN, the deductor must deduct at the higher of 20% or the applicable rate. So no-PAN commission attracts a flat 20% TDS instead of 2%.

01At what rate is TDS deducted on commission?

Section 194H applies at 2%, reduced from 5% with effect from 1 October 2024. It applies to commission or brokerage paid to a resident.

02What is the threshold?

₹20,000 in a financial year to one payee, raised from ₹15,000 with effect from 1 April 2025. Once the aggregate crosses it, tax is deducted on the whole amount, not only the excess.

03Who has to deduct?

Any person paying commission or brokerage, except an individual or HUF whose accounts were not subject to tax audit in the preceding year.

04What is excluded from 194H?

Commission on insurance, which falls under section 194D; brokerage on securities transactions covered elsewhere; and commission paid by BSNL or MTNL to their public call office franchisees.

05Is discount to a distributor treated as commission?

It depends on whether the relationship is principal-to-principal or principal-to-agent. A genuine outright sale at a discount is not commission; where the dealer sells on the company's behalf and the margin is fixed by the company, the department has often treated it as commission.
