External Commercial Borrowings are governed by Section 6 of FEMA, 1999 read with the Foreign Exchange Management (Borrowing and Lending) Regulations and the RBI Master Direction on External Commercial Borrowings, Trade Credits and Structured Obligations. Eligible resident borrowers may raise ECB from recognised non-resident lenders under the automatic or approval route, subject to the prescribed parameters.

LRN before drawdown
Do not draw down the ECB before the Loan Registration Number is allotted. Drawdown ahead of the LRN can be a FEMA contravention.
End-use is restricted
ECB proceeds can be used only for permitted purposes. Certain end-uses (an indicative negative list — subject to the RBI ECB framework) are not allowed.
Maturity matters
