MOA: Memorandum of Association is the charter document. Must specify main objects clearly for MCA approval. AOA: Articles of Association govern internal management — meetings, voting, dividend, director powers.
One Person Company (OPC)
MOA (Table B adapted) + AOA (Table F adapted with OPC-specific clauses)
Key provisions: Single member clause, nominee details, conversion provisions
OPC MOA contains nominee name & consent. AOA restricts transfer of shares. Conversion clause to Pvt Ltd when turnover exceeds ₹2 Cr.
Limited Liability Partnership (LLP)
LLP Agreement (replaces MOA/AOA for LLPs)
Key provisions: Contribution, profit sharing, designated partners, exit provisions
LLP Agreement filed with MCA LLP-3. Unlike MOA/AOA, LLP agreement can be customised extensively for profit/loss sharing ratios.
Section 8 Company (Not-for-Profit)
MOA (Table C) + AOA (Table G) — Special format for charitable objects
Key provisions: Objects must be charitable/educational/social; no dividend distribution
Objects clause must clearly specify charitable purpose. Surplus to be used only for furthering objectives. No dividend allowed.
